Whereas, the Controller and the Provider desire to enter into this Order Form governed by the laws of Singapore. The Supplier shall provide reasonable training to its personnel on data protection, security, and ethics policies. All notices under this Agreement shall be in writing and deemed given upon receipt or after ten ( 10 ) Business Days, whichever occurs first. The IP indemnity is subject to the overall liability cap of 1,000 GBP. Whereas, the Licensee and the Contractor desire to enter into this Agreement governed by the laws of the Federal Republic of Germany.
"Deliverable" means the meaning given to it in this Order Form or, if not defined, its ordinary meaning. This Agreement is governed by the laws of the State of California, USA. The Processor shall indemnify, defend, and hold harmless the Client from and against claims, damages, and costs arising out of third‑party allegations of infringement or violation of law. The Supplier shall retain relevant records for at least fourteen ( 14 ) days following completion of the services.

Except for fraud, death, personal injury, or wilful misconduct, each Party's aggregate liability shall not exceed 25,000 USD. Fees are payable within forty‑five days of the date of invoice.
